Terms & Conditions

1. Appointment and Territory
Osiante Biotech will designate an exclusive territory for you as our Distributor. To accept this appointment, you must fill out and return the enclosed information form, duly signed and stamped. The appointment is based on mutual agreement and can be terminated by either party with a 30-day notice, unless otherwise specified. Exclusive distribution rights are granted to Distributors who can demonstrate their ability and resources for effective product promotion. No additional Distributors will be appointed within your designated territory for the same product line, provided you maintain satisfactory sales performance.

  1. Provision of Marketing Materials
    We will supply you with necessary marketing materials, including brochures, product catalogs, and samples, at the actual cost. Marketing Resource (MR) bags will be available for purchase at ₹900 each, and no complimentary bags will be provided. Free goods or bonuses will not be included in this agreement. A minimum monthly purchase of ₹30,000 per district (with at least 50 items to market) is required at our billed rates, alongside an annual growth target of 30%. Billing will align with our current pricing schedule (Osiante Biotech PRICE), which includes applicable taxes. If there are no purchases for two consecutive months, this agreement may be terminated.
  2. Pricing Information
    Current product prices can be found on our official website. All prices are net and do not include taxes or shipment charges. The management retains the right to adjust prices as necessary due to regulatory changes or unforeseen economic conditions.
  3. Payment Terms
    All orders must be prepaid through bank transfers; we do not authorize direct supplies without appropriate security guarantees. Alternative payment methods will not be accepted. In urgent situations, goods may be dispatched directly up to the amount of your deposit or as deemed appropriate by management. Should purchases or payments fall short of requirements, the company might appoint additional Distributors or take necessary steps to ensure compliance. Exclusive distribution privileges will remain as long as purchases and payments align with our policies.
  4. Shipment and Delivery
    Products will be shipped via established courier services with facilities in Delhi and your specific location. If direct delivery is not feasible, goods will be dispatched to the nearest location for collection at your own cost. Osiante Biotech will not cover transportation expenses incurred when collecting goods from the nearest delivery point. Freight costs will be the Distributor’s responsibility, and shipping methods include courier, express mail, air cargo, or other options selected by the Distributor.
  5. Damage Claims
    Claims for damaged goods, such as broken containers or labels, will only be accepted if reported within 30 days from dispatch. You must inform us of any damages within 15 days from receipt. Claims must include product name, batch number, expiration date, quantity, invoice number, and date, along with the return of damaged goods in original packaging at your expense. Claims submitted outside this timeframe will not be processed.
  6. Returns and Expiry Policies
    We do not accept returns for sold products unless exceptional circumstances arise and management approves. Returned items must have a remaining shelf life of at least six months. Products with short shelf lives confirmed by the Distributor are non-returnable. Expired or non-moving goods supplied under Osiante Biotech’s terms cannot be returned.
  7. Order Submission
    Orders must be sent via email to info@osiantebiotech.com. Written submissions are necessary to ensure accurate communication. Clearly specify your promotional materials requirements, including quantities for samples, literature, and additional marketing items, as company representatives will not routinely send these without request. Keep informed on company announcements regarding new products and include them in your orders. Short-expiry items will only be supplied based on prior confirmation and are non-returnable. Cash transactions with company personnel are not allowed, and Osiante Biotech will not be responsible for any informal dealings.
  8. Minimum Order Requirement
    We do not process orders less than ₹5,000.
  9. Jurisdiction Clause
    For any disputes arising from this agreement, jurisdiction shall be limited to the courts in Delhi. Any interactions or matters concerning local, state, or national Chemists Associations shall be managed by you at your own expense.

By signing this document, you acknowledge that you have read, understood, and agreed to the terms and conditions set forth by Osiante Biotech.
